General terms
General terms.
1. Scope
These terms apply to services provided by ScudIA: website creation, support plans, AI assistants, automation and management tools (CRM/ERP). Specific terms in an accepted quote take precedence over these terms.
2. Quotes and contract formation
Prices shown on the website are starting prices. Submitting an enquiry through the form creates no commitment and triggers no payment or subscription.
Each project receives a written quote specifying scope, price and schedule. Quotes are valid for 60 days. The contract is formed when the client accepts the quote in writing, including by email.
3. Prices and payment
Prices are stated in Swiss francs (CHF). ScudIA is not subject to VAT; no VAT is charged.
For website creation, a 50% deposit is due on order and the balance on delivery. Invoices are payable within 30 days. Late payments incur statutory interest of 5% per year.
Hosting, domain names and external service licences are excluded from the creation price unless the quote states otherwise.
4. Work and deadlines
Work begins after the quote is accepted. The delivery date is agreed with the client and depends on timely provision of the required content and approvals. Client delays postpone delivery accordingly.
Requests outside the quoted scope are priced and accepted before work begins.
5. Client-supplied content
The client warrants that they hold the rights to all text, images, logos and data supplied to ScudIA and that these comply with applicable law.
6. Support plans
Support plans are optional and separate from the creation price. They cover the chosen plan’s services within the scope defined in the proposal. Exclusions: creation or complete redesign of a website, complex new features, hosting, domain names and external licences.
Plans are billed monthly. The minimum term is three months, after which they may be cancelled in writing at the end of a month with one month’s notice.
7. Intellectual property
Usage rights to the delivered website transfer to the client once the full price is paid. ScudIA retains its tools, methods and reusable components.
Unless the client objects in writing, ScudIA may include the work in its portfolio.
8. Warranty and liability
For 30 days after delivery, ScudIA corrects defects reported by the client free of charge, provided they fall within the quoted scope. Subsequent changes and defects caused by the client or a third party are excluded.
ScudIA’s liability is governed by the applicable provisions of Swiss law.
9. Data protection
Personal data processing is described in our privacy policy. Where ScudIA processes personal data on a client’s behalf (for example in a CRM/ERP or AI assistant), the arrangements are agreed in writing with that client.
10. Governing law and jurisdiction
The contract is governed by Swiss law. Jurisdiction lies in Geneva, subject to mandatory legal jurisdictions, particularly those protecting consumers.
